These Terms of Use explain how patients, healthcare practices, providers, staff, and other authorized users may access and use the websites, software, applications, portals, communication tools, scheduling tools, payment features, AI-powered tools, and related services provided by Spare Health, Inc. and its product Patient Pie ("Spare Health," "we," "us," or "our").
By using our services, you agree to these Terms. If you do not agree, please do not use the services.
You may use the services only if you are legally able to agree to these Terms and, if using the services on behalf of a healthcare practice or other organization, you have authority to bind that organization to these Terms.
Spare Health provides technology that helps healthcare practices manage operations, patient communication, scheduling, payments, documentation, and related workflows. Spare Health is not a medical practice, healthcare provider, pharmacy, laboratory, or insurance company.
Our services are for administrative, operational, communication, and workflow support only. Spare Health does not provide medical advice, diagnose conditions, prescribe medication, interpret lab results, or make clinical decisions. All medical care is provided solely by licensed healthcare providers and their practices.
The services are not intended for emergencies or urgent medical needs. If you are experiencing a medical emergency, call 911 or seek immediate medical attention.
Do not rely on Spare Health services, portals, messages, or automated tools for emergency care.
Some services may include AI or automation. AI outputs may be incomplete, inaccurate, or inappropriate for a specific use and are not a substitute for professional judgment. Providers and authorized practice users are responsible for independently reviewing, verifying, and approving AI-assisted content before using it for patient care, documentation, billing, prescribing, compliance, or other professional purposes.
You agree to provide accurate information, keep account credentials secure, use the services lawfully, and only access information you are authorized to access. Healthcare practices are responsible for patient care, clinical decisions, staff access, role permissions, recordkeeping, pricing, billing, refunds, compliance, and responding to patient communications.
Healthcare practices are responsible for assigning appropriate user roles, promptly removing access for users who no longer need it, and ensuring that staff use the services only within the scope of their professional duties and authorization.
Your use of the services may involve health-related information, including Protected Health Information under HIPAA. Our use of information is governed by our Privacy Policy and, where applicable, a Business Associate Agreement with a healthcare practice. For patients, a healthcare practice's Notice of Privacy Practices explains how that practice may use and disclose Protected Health Information. We use safeguards designed to protect information, but no system can be guaranteed to be completely secure.
The services may support appointment scheduling, patient communications, membership plans, cash-pay services, payments, e-prescribing, lab workflows, telehealth tools, and third-party integrations. Spare Health does not guarantee appointment availability, message delivery, payment processing, prescription transmission, lab result timing, telehealth connectivity, or the performance of third-party services. Healthcare practices and third-party providers remain responsible for their own services, terms, pricing, policies, regulatory obligations, and patient-facing communications.
By using the services, you agree that Spare Health, healthcare practices, and authorized service providers may send you service-related electronic communications, including account notices, appointment updates, payment notices, policy updates, security alerts, and other operational messages. Where SMS or text messaging is offered, those messages may also be governed by separate SMS/Text Messaging Terms and applicable consent requirements.
Some features may be offered as beta, pilot, early-access, experimental, or limited-release features. These features may change, pause, be discontinued, or become subject to additional terms. Beta or early-access features may be less reliable than generally available features and should not be used as the sole basis for clinical, billing, compliance, or operational decisions.
We may retain information for as long as needed to provide the services, comply with legal obligations, resolve disputes, maintain security, support audits, and enforce our agreements. Healthcare practices remain responsible for maintaining medical records and complying with applicable recordkeeping, retention, export, and deletion obligations. Closing an account or ending a service relationship may not immediately remove all information from backup, archival, compliance, or legally required records.
You may not misuse the services, violate the law, submit false information, access data without permission, interfere with security or system performance, upload harmful code, copy or reverse engineer the services, misuse patient information, or use the services for harmful, deceptive, or unlawful purposes.
Spare Health owns its software, technology, designs, content, trademarks, and related materials. You may use the services only as permitted by these Terms. You retain ownership of information you submit, but you allow Spare Health to host, process, transmit, and use it as needed to provide, secure, support, and improve the services, subject to applicable law and our agreements.
We work to provide reliable services, but we do not guarantee that they will always be available, uninterrupted, secure, accurate, or error-free. The services are provided "as is" and "as available," to the maximum extent permitted by law.
In no event will the company, its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the services, any services linked to it, any content within the services or items obtained through the services, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
You agree to defend, indemnify, and hold harmless Spare Health, its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the services, violation of these Terms, violation of law, unauthorized access to information, or content or information you submit through the services.
The foregoing does not affect any liability which cannot be excluded or limited under applicable law.
We may suspend, restrict, or terminate access to the services if we believe the services are being misused, these Terms are violated, access creates legal or security risk, a healthcare practice ends its relationship with us, or the services are discontinued.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute related to these Terms or the services will be handled in the state or federal courts located in Delaware, unless applicable law requires otherwise.
We may update these Terms from time to time. Updated Terms will be posted on our website or within the services and will become effective when posted unless stated otherwise. The "Last Updated" date will reflect the latest revision. Continued use of the services after updated Terms are posted means you accept the updated Terms.
